1. Acceptance of Terms

By purchasing, downloading, accessing, or using any digital product, template, toolkit, guide, checklist, worksheet, assessment, policy, procedure, workbook, or other digital material provided by Delegated Credentialing Pros, LLC (“DCP”), you acknowledge that you have read, understood, and agree to these Digital Product Disclaimer & Toolkit License Terms.

These terms apply to the digital product or materials purchased or otherwise provided to you and form part of the agreement governing your use of those materials. No signature is required for these terms to apply.

2. Informational and Operational Purposes Only

All digital products and materials provided by DCP are intended solely as informational, educational, and operational resources. They are designed to assist organizations in evaluating, organizing, documenting, or improving their own credentialing, delegated credentialing, provider operations, and related processes.

The materials are not intended to replace the organization’s own policies, procedures, professional judgment, legal review, compliance review, accreditation review, or other required oversight.

3. No Legal, Regulatory, Compliance, Accreditation, or Standards Advice

DCP’s digital products do not constitute legal advice, regulatory advice, compliance advice, accreditation advice, standards interpretation, or professional advice.

Nothing in any digital product should be interpreted as an official interpretation, determination, certification, or representation of the requirements of NCQA, CMS, any federal or state agency, payer, health plan, accrediting organization, regulatory body, contractual counterparty, or other third party.

Users are responsible for determining how applicable laws, regulations, accreditation requirements, contractual requirements, payer requirements, and organizational policies apply to their circumstances.

4. No Guarantee of Compliance or Results

Use of a DCP digital product does not guarantee compliance with any law, regulation, accreditation standard, NCQA requirement, payer requirement, delegation requirement, contractual obligation, or other applicable standard.

DCP does not guarantee that use of any product will result in successful audits, surveys, accreditation, delegated credentialing status, credentialing outcomes, provider enrollment, reimbursement, operational performance, financial results, or any other particular business outcome.

5. Purchaser Responsibility

The purchaser or user is solely responsible for reviewing, validating, customizing, updating, and implementing any digital product before relying on it.

Requirements, standards, laws, payer expectations, accreditation criteria, technology, organizational structures, and operational circumstances may change. Users must determine whether the materials remain appropriate and current for their particular circumstances.

Where appropriate, users should obtain legal, regulatory, compliance, accreditation, clinical, financial, or other professional advice from qualified professionals before implementing or relying upon the materials.

6. No Professional Relationship Created

Purchase, download, access, or use of a digital product does not create an attorney-client, consultant-client, accreditation advisor-client, regulatory advisor-client, or other professional relationship between DCP and the purchaser or user.

A digital product is not individualized consulting, legal advice, regulatory advice, accreditation advice, standards interpretation, or an assessment of the purchaser’s specific organization, systems, policies, files, or operations.

7. License, Not Ownership

Digital products are licensed, not sold. Subject to these terms, DCP grants the purchasing organization a limited, non-exclusive, non-transferable license to use the purchased materials for the organization’s internal business purposes.

Ownership of the underlying templates, frameworks, tools, written materials, structure, and intellectual property remains with DCP unless expressly stated otherwise in writing.

8. Permitted Use

The licensed organization may use the materials for its own internal business purposes, including completing, maintaining, adapting, editing, and customizing the materials for its own operations.

The organization may create completed records using the materials and may share completed documents containing its own organizational information with health plans, payers, accreditors, auditors, regulators, and other parties in the normal course of its business, as appropriate.

The organization may permit its employees and individual contractors working on its behalf to access and use the licensed materials for the organization’s internal purposes.

Without DCP’s prior written permission, the purchaser may not:

The licensed organization may edit, customize, adapt, extend, or otherwise modify the materials for its own internal use.

Internal modification does not transfer ownership of the underlying DCP template, framework, methodology, or other intellectual property. Modified materials may not be resold, sublicensed, or redistributed outside the licensed organization unless DCP provides written permission or the applicable license expressly permits that use.

11. Consultants, CVOs, MSOs, and Multi-Organization Use

A consultant, credentialing verification organization (CVO), management services organization (MSO), platform, parent organization, or other entity that intends to deploy a DCP digital product across multiple separate organizations must obtain an appropriate license for each organization or a separate multi-organization license from DCP.

A single-organization license does not automatically authorize use across clients, affiliates, subdelegated entities, portfolio companies, or other separately operated organizations.

12. Ownership

DCP retains all right, title, and interest in and to the underlying digital products and materials, including their original templates, frameworks, structure, wording, methodology, and other intellectual property, except for purchaser-owned information or materials incorporated into completed documents.

Completed documents containing the purchaser’s own organizational information may be retained as the purchaser’s business records, subject to these license terms.

13. No Warranty; AS-IS; Use at Your Own Risk

Digital products are provided “AS IS” and “AS AVAILABLE,” to the maximum extent permitted by applicable law.

DCP makes no representation or warranty that the materials are complete, current, error-free, suitable for a particular organization, or sufficient to satisfy any specific legal, regulatory, accreditation, payer, contractual, or operational requirement.

You use the materials at your own risk and remain responsible for independently evaluating whether and how they should be used.

14. Limitation of Liability

To the maximum extent permitted by applicable law, DCP’s total aggregate liability arising out of or relating to a digital product or these license terms will not exceed the amount actually paid by the licensee for the specific digital product giving rise to the claim.

To the maximum extent permitted by applicable law, DCP will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost revenue, lost profits, loss of business opportunity, audit findings, loss of accreditation, loss of delegation status, reimbursement consequences, or other consequential business losses arising from or related to use of the materials.

15. License Violation and Termination

A material violation of these license terms may result in immediate termination of the license.

Upon termination, the licensee must cease unauthorized use and distribution of the licensed materials and, upon request, delete unauthorized copies of the blank/template materials. Completed documents containing the licensee’s own business information may generally be retained as business records, subject to any applicable legal obligations and the terms of the applicable license.

DCP reserves all rights and remedies available under applicable law for unauthorized use, distribution, reproduction, or commercialization of its materials.

16. Updates and Changing Requirements

Healthcare, credentialing, accreditation, regulatory, payer, and contractual requirements may change over time. A digital product reflects the content and purpose for which it was provided at the time of purchase or delivery and should not be assumed to incorporate future changes automatically.

Unless expressly stated otherwise, purchase of a digital product provides access to the version purchased. Future updates, revised standards, or later publication years may be provided separately or may require a separate purchase or license.
